QliQ is operated by ONEQLIQ PORTAL, Dubai, United Arab Emirates ("QliQ", "we", "us" or "our").

QliQ provides a business-to-business platform that enables businesses to connect, post and discover buying requirements, offers and other business opportunities, communicate with each other, and use related services made available through the platform.

QliQ may be available through its website, mobile applications and other channels or services.

If you use QliQ on behalf of a company or other organisation, you confirm that you have authority to act on its behalf and agree to these Terms.

QliQ provides a platform for businesses to discover and communicate with each other.

Unless expressly stated otherwise, QliQ is not a buyer, seller, supplier, distributor, agent, broker, representative, payment guarantor or party to any transaction between users.

Any quotation, negotiation, order, contract, payment, delivery or other transaction entered into between users is solely between those users.

Users are responsible for conducting their own enquiries and due diligence before entering into any transaction.

Information appearing on QliQ may be provided by users or third parties.

QliQ does not guarantee the identity, authority, creditworthiness, reliability or conduct of any user, or the accuracy, completeness or reliability of any listing, offer, quotation, communication or other information made available through the platform.

QliQ does not guarantee the quality, legality, safety, availability, quantity, condition, price, delivery or suitability of any goods or services offered or requested through the platform.

Any verification or similar status provided by QliQ indicates only that certain information or documents may have been reviewed. It does not constitute an endorsement, warranty or guarantee by QliQ.

Users transact at their own commercial risk.

QliQ is intended for business and commercial use.

You must be at least 18 years old and legally capable of entering into binding agreements to use the service.

You agree to provide accurate and current information when creating and maintaining your account.

You are responsible for maintaining the security of your account and for activities carried out through it.

You must not sell, transfer, misuse or provide unauthorised access to your account.

We may require additional information or verification where reasonably necessary to maintain the security or integrity of the platform.

You must use QliQ lawfully, responsibly and for legitimate business purposes.

You must not:

• Submit false, misleading, fraudulent or deceptive information;
• Post requirements, offers or other content that you are not authorised to post;
• Offer or request unlawful, prohibited, counterfeit or restricted goods or services;
• Infringe intellectual property, privacy or other rights of another person;
• Use QliQ to spam, harass, threaten, defraud or mislead another person;
• Misuse another user's contact or business information;
• Attempt to gain unauthorised access to QliQ or another user's account;
• Introduce malicious code or interfere with the operation or security of the service;
• Scrape, harvest, systematically copy or extract information from QliQ without our written permission;
• Impersonate another person or business; or
• Use QliQ in any way that may harm QliQ, its users or the integrity of the marketplace.

We may review, reject, edit, restrict, suspend or remove content or activity where we reasonably consider it necessary for the operation, security or integrity of QliQ or compliance with these Terms or applicable law.

Users are responsible for the accuracy and legality of the requirements, offers, replies, messages, documents, images and other information they submit through QliQ.

A listing, reply, message or other communication through QliQ does not by itself create an obligation on QliQ to complete, supervise or guarantee a transaction.

Users are responsible for agreeing directly between themselves on commercial terms, including specifications, price, quantity, taxes, payment, delivery, inspection, warranties and any other transaction terms.

QliQ may organise, format, categorise, display or distribute submitted information as reasonably necessary to operate the platform.

By using QliQ and providing your contact information, you agree that we may communicate with you regarding your account, activity, enquiries, relevant marketplace activity, service information and other communications permitted by applicable law.

Communications may be made through channels supported by QliQ from time to time.

Where applicable, you may manage preferences for non-essential communications.

Delivery of communications may depend on third-party networks and services, and QliQ does not guarantee that every communication or notification will be successfully or immediately delivered.

QliQ may offer free and paid memberships, subscriptions, features or services.

The features, usage allowances, prices, billing periods and other applicable conditions will be displayed on QliQ or communicated to you before purchase or activation.

We may introduce, modify or discontinue membership plans, features, usage allowances or pricing from time to time, subject to applicable law and any commitments made for an existing paid period.

Where payments are processed through a third-party payment provider, additional terms of that provider may apply.

Unless otherwise stated at the time of purchase, fees paid to QliQ are non-refundable to the extent permitted by applicable law.

Taxes, duties or other governmental charges applicable to a user's transactions or use of QliQ remain the responsibility of the relevant user unless expressly stated otherwise.

QliQ is not responsible for disputes arising between users.

Users are solely responsible for:

• Evaluating prospective counterparties;
• Agreeing commercial and contractual terms;
• Checking goods, documentation and regulatory requirements;
• Making and receiving payments;
• Arranging delivery, logistics and insurance where applicable; and
• Resolving disputes relating to their transactions.

QliQ may, but is not obligated to, assist users in communicating about a dispute.

Any assistance provided by QliQ does not make QliQ a party to the transaction or responsible for its outcome.

You retain ownership of content you submit to QliQ.

By submitting content, you grant QliQ a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, display, format, adapt and communicate that content to the extent reasonably necessary to operate, provide, promote and improve QliQ and its services.

You represent that you have the rights and permissions necessary to submit the content and grant this licence.

We may remove or restrict access to content where we reasonably believe it violates these Terms, applicable law, the rights of another person or the integrity of the platform.

QliQ and its associated software, branding, logos, designs, interfaces, databases and other proprietary materials are owned by or licensed to ONEQLIQ PORTAL and are protected by applicable intellectual-property laws.

Except as expressly permitted through the normal use of the service, you may not copy, reproduce, modify, distribute, sell, licence, reverse engineer or commercially exploit QliQ or its proprietary materials without our prior written permission.

Nothing in these Terms transfers ownership of QliQ's intellectual property to you.

QliQ may use, integrate with or provide access to third-party services.

We do not control independent third-party services and are not responsible for their availability, performance, content, security or separate terms and policies.

Your use of third-party services may be subject to their own terms.

We may restrict, suspend or terminate access to QliQ, remove content, limit functionality or take other appropriate action where we reasonably believe:

• These Terms have been violated;
• An account or activity presents a security, fraud, legal or marketplace-integrity risk;
• Information provided is false or misleading;
• Another user's rights may be affected;
• The service is being misused; or
• Action is required by law or a competent authority.

We may also discontinue all or part of QliQ or particular features where reasonably necessary.

You may stop using QliQ or request deletion of your account in accordance with the options made available through the service.

Termination or deletion does not affect rights, obligations or transactions that arose before termination.

QliQ is provided on an "as is" and "as available" basis to the extent permitted by applicable law.

We do not guarantee that QliQ will always be available, uninterrupted, secure or error-free, or that information available through the platform will always be complete or accurate.

We do not guarantee that a listing will receive enquiries or replies, that users will enter into transactions, or that any transaction will be successful.

To the fullest extent permitted by applicable law, QliQ and ONEQLIQ PORTAL will not be liable for losses arising from or relating to transactions or disputes between users, the conduct of another user, goods or services offered through the platform, payment or non-payment, delivery or non-delivery, or information supplied by users or third parties.

To the fullest extent permitted by applicable law, we will not be liable for indirect, incidental, special or consequential losses, loss of profits, revenue, business, opportunity, goodwill or data.

Where our liability cannot legally be excluded, our aggregate liability arising from or relating to QliQ will, to the extent permitted by applicable law, be limited to the fees actually paid by you to QliQ during the twelve months preceding the event giving rise to the claim.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.

To the extent permitted by applicable law, you agree to indemnify and hold harmless ONEQLIQ PORTAL, QliQ and their respective officers, employees and representatives from claims, liabilities, losses and reasonable costs arising from your unlawful use of QliQ, your content, your transactions with other users, or your material breach of these Terms.

Our collection and use of personal data is governed by our Privacy Policy, which forms part of your use of QliQ.

We may modify QliQ, its features, membership plans or these Terms from time to time.

The latest version of these Terms will be made available through QliQ with the date of the latest update.

Where required by applicable law, we will provide appropriate notice of material changes.

Your continued use of QliQ after revised Terms become effective constitutes acceptance of those Terms, subject to applicable law.

These Terms are governed by the applicable laws of the United Arab Emirates and the Emirate of Dubai.

Subject to any mandatory legal requirements, the courts of Dubai, United Arab Emirates shall have jurisdiction over disputes arising from or relating to these Terms or the use of QliQ.

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will continue in effect.

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other right.

You may not transfer your rights or obligations under these Terms without our prior written consent. We may transfer our rights and obligations as part of a restructuring, transfer of business or otherwise as permitted by law.

These Terms, together with the Privacy Policy and any additional terms expressly applicable to a particular QliQ service or paid feature, constitute the agreement between you and QliQ concerning your use of the service.
